Terms of Service

1. Scope

These Terms of Service (“Terms”) govern your access and use of the websites and services provided by PineWoodsAI LLC (“PineWoods”, “we”, “us”, or “our”), including those at https://pinewoodsai.com and https://healthsphere.tech, Athena Prime, the Relational Intelligence Fabric (RIF), Athena Prime HealthSphere, HealthSphere, and any other offerings that reference these Terms (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy (incorporated by reference), and all applicable laws. If you do not agree, you must immediately discontinue use of the Services.

These Terms apply only to the use of the Services and do not alter any other agreement between you and PineWoods unless explicitly referenced.

2. No Professional Advice

PineWoods does not provide medical, psychological, technical, professional, financial, or legal services or advice. The Services and all outputs are intended for general informational, educational, and wellness exploration purposes only.

If you are experiencing a medical or mental health emergency, do not use the Services. Contact 911 or the 988 Suicide & Crisis Lifeline immediately.

You assume full responsibility for any decisions or actions you take based on the Services or their outputs and agree to consult qualified licensed professionals before making any health-related changes.

3. Athena Prime and the Relational Intelligence Fabric (RIF)

Athena Prime is powered by our proprietary Relational Intelligence Fabric (RIF), an orchestration layer that intelligently routes and synthesizes inputs across multiple third-party large language models (from OpenAI, Anthropic, Google, and xAI) while applying additional relational context.

We take technical measures to minimize data sent to third-party models, including routing de-identified or minimized text where feasible. The RIF then synthesizes responses into insights such as the Health Graph, Health Personality profiles, Crucial Metrics, and nervous system patterns.

All outputs are exploratory hypotheses only and remain subject to the limitations of the underlying models. They do not constitute diagnoses, prescriptions, or clinical decisions. You are solely responsible for validating any insights with qualified licensed professionals.

4. HealthSphere Program and Cohort Participation

HealthSphere, including the “First 9” founding cohort and future programs, is an educational wellness initiative. Participation is subject to these Terms in full, including all disclaimers and limitations, regardless of whether the program is free or paid. We reserve the right to remove participants for material non-compliance. Specific cohort rules are set forth in the separate Beta/Pilot Addendum provided to participants.

5. Eligibility and Acceptable Use

You must be at least 18 years old.

You agree not to use the Services to:

- Request or solicit medical, psychological, diagnostic, or therapeutic advice;

- Input any biometric data into any AI prompt(s) and/or conduct any biometric identification or surveillance;

- Upload, generate, or otherwise transmit or disseminate any message, material, image, data, software, or other content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene or otherwise objectionable, or that may invade another’s right of privacy or publicity;

- Create a false identity for the purpose of misleading or impersonating any person or entity;

- Bypass security measures and/or upload, transmit or otherwise disseminate files that contain malware, viruses, Trojan horses, ransomware, worms, time bombs, cancel-bots, corrupted files, or any other software or programs that may damage another’s computer or property;

- Upload, transmit or otherwise disseminate any material you are not authorized to upload, including infringement of any intellectual property right;

- Reverse engineer the Services and/or build, train, or improve competing artificial intelligence technologies;

- Upload or transmit any unsolicited advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;

- Scrape, harvest, or otherwise extract or collect information from the Services;

- Manipulate or display the Services by using framing, mirroring, or similar technology; or

- Engage in any competitive misuse or build competing products using our outputs or methodology.

Violation or anticipatory violation of these Terms may result in equitable relief, including injunction.

6. User Content and Ownership

You retain ownership of the raw content you submit. By submitting content, you grant PineWoods a non-exclusive, royalty-free, worldwide license to process, anonymize, route (in de-identified form), analyze, and synthesize it solely to provide and improve the Services, for the duration of your account or as otherwise described in our Privacy Policy.

PineWoodsAI owns all proprietary methodologies, schemas, models, system architecture, and the Relational Intelligence Fabric. Derived insights (including the Health Graph, Health Personality profiles, Crucial Metrics, and nervous system patterns) generated through the Services are accessible by you and subject to your deletion rights as described in our Privacy Policy.

7. Deletion and Data Handling

Upon a valid deletion request, we will delete your personal data from active production systems promptly (typically within 30 days). Residual copies in backup systems will be purged within 90 days, subject to legal obligations. Financial, tax, and accounting records required by law, as well as de-identified or aggregated data that cannot reasonably be linked to you, may be retained as required or permitted by law.

We take technical measures to minimize data sent to third-party models, including routing de-identified or minimized text where feasible. Temporary retention by third-party model providers, if any, applies only to de-identified text and is subject to their policies.

8. Third-Party Services and Integrations

Our Services utilize multiple AI service providers, including OpenAI (ChatGPT), Anthropic (Claude), Google (Gemini), and xAI (Grok). The list of third-party AI providers may change from time to time; current providers are described at pinewoodsai.com/transparency.

You may optionally connect third-party services (Google OAuth, biometric devices, productivity platforms). By connecting them, you consent to the collection and use of data as described in our Privacy Policy. We are not responsible for the terms, performance, or security practices of third-party providers.

9. Live Sessions and Cohort Rules

We reserve the right to reschedule live sessions upon reasonable notice. You may cancel or reschedule a session with at least twenty-four (24) hours’ notice. Missed or untimely-cancelled sessions may be forfeited. Additional cohort-specific rules are provided in the Beta/Pilot Addendum.

10. Disclaimer of Warranty and Limitations of Liability

THE SERVICES, ANY OUTPUTS, AND SYSTEM CONTENT ARE PROVIDED “AS IS”. TO THE FULLEST EXTENT PERMITTED BY LAW, PINEWOODS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

PINEWOODS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

The aggregate liability cap in this Section does not limit PineWoodsAI’s liability for gross negligence, willful misconduct, infringement of a party’s intellectual property rights, or breach of confidentiality obligations. All other limitations and exclusions in this Section continue to apply.

11. Indemnification

You agree to indemnify, defend, and hold harmless PineWoods and its officers, directors, employees, agents, and licensors from any claims, losses, or expenses arising from your use of the Services, your content, or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, on an individual basis and not as part of any class, consolidated, or representative action. CLASS ACTION WAIVER: You waive any right to bring or participate in any class action, collective action, or representative proceeding arising from or related to these Terms or the Services. You may opt out of arbitration by providing written notice within 30 days of first accepting these Terms. The arbitration shall be conducted in a location convenient to you consistent with AAA Consumer Rules.

13. Miscellaneous

If any provision is held invalid, the remainder remains in effect. No waiver of any breach shall constitute a waiver of any subsequent breach. These Terms constitute the entire agreement. We may assign these Terms; you may not without our prior written consent. Material changes will be notified to you at least 30 days in advance where feasible. Force majeure events (including outages by third-party AI providers) excuse performance during the period of the event.
